Terms and Conditions

1. Scope

These terms and conditions apply to all contracts for the purchase of licenses for the "Zorvex-group Lagersystem" software between Zorvex-group and the customer.

2. Conclusion of contract

By clicking "Order with obligation to pay", the customer submits a binding offer to purchase the selected license. The contract is concluded upon confirmation and successful payment processing.

3. Scope of services

Depending on the option chosen, the customer receives either a downloadable package of the software for installation on their own infrastructure, or access to an instance hosted by us. The scope of functionality is determined by the product description at the time of order.

3a. Support

Support covers answering questions about installation, configuration, and use of the software, as well as fixing errors (bugs). Support is provided by email or ticket system in German. Response time is typically 1–2 business days. No guarantee is given for specific response times unless a separate SLA agreement has been concluded.

4. Prices and payment

Pursuant to § 19 UStG (German small business regulation), no VAT is charged or shown — the stated prices are final prices. Payment is made in advance via the payment methods offered at checkout.

5. Usage rights

The software, including its source code, remains the intellectual property of the provider. The customer acquires only a simple right of use under these license terms. This right of use is non-exclusive and non-transferable. In particular, the following are prohibited: circumventing, disabling, or removing the license verification contained in the software; distributing, publishing, or otherwise making available such a modified copy of the software to third parties; and any use that exceeds the scope of functionality acquired with the respective license tier. The statutory right to decompile for purposes of interoperability (§ 69e UrhG, German Copyright Act) remains unaffected.

5a. Free trial version

A free trial version is provided exclusively for evaluation purposes and exclusively for a period of 14 days from activation. It may not be used in production or for ongoing commercial use. Access is automatically suspended after the trial period ends; there is no entitlement to an extension. Only one trial version is permitted per customer. Clause 5 applies accordingly.

6. Term and suspension upon payment default (optional update subscription)

In the event of non-payment of a due update/support subscription, access to updates and support may be restricted after a reasonable grace period. The core license, which was purchased once, remains unaffected.

7. Warranty

Statutory warranty rights apply.

8. Right of withdrawal

The separate right of withdrawal notice applies.

8a. Limitation of liability for self-hosted software

As the software is operated on the customer's own servers, the provider accepts no liability for data loss, business interruption, or other damages arising from the installation, configuration, or use of the software. The customer is solely responsible for regular data backups and for operating their own infrastructure. This clause does not apply to damages arising from injury to life, body, or health, or to damages caused by intent or gross negligence on the part of the provider; statutory liability rules remain unaffected in this respect.

9. Voluntary satisfaction guarantee

In addition to any statutory rights, we voluntarily grant the customer a 14-day money-back guarantee from the date of purchase: if the customer is not satisfied with the software, they will receive a full refund of the purchase price upon informal request by email to info@zorvexgroup.de; in return, the license received may no longer be used. This guarantee exists independently of and in addition to any statutory right of withdrawal that may apply.

10. Final provisions

The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

If the customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with this contractual relationship is the provider's registered place of business.

Should individual provisions of these terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
